This Bill of Sale ("Bill of Sale") is made and entered into on June 10, 2026 by and between:

1. SALE OF PROPERTY
For good and valuable consideration in the sum of [Sale Price], the receipt and sufficiency of which is hereby acknowledged, the Seller hereby sells, transfers, and conveys to the Buyer all of the Seller's right, title, and interest in and to the following property (the "Property"):

2. PURCHASE PRICE AND PAYMENT

3. TRANSFER OF OWNERSHIP
The Seller warrants that the Seller is the lawful owner of the Property and has full right, power, and authority to sell and transfer the Property to the Buyer. Ownership of the Property passes to the Buyer upon execution of this Bill of Sale and receipt of payment in full.
4. CONDITION OF PROPERTY
The Property is sold "AS IS, WHERE IS", with all faults and without any warranty of any kind, whether express or implied, including without limitation any implied warranty of merchantability or fitness for a particular purpose. The Buyer has had the opportunity to inspect the Property and accepts it in its present condition. The Seller shall not be liable for any defects, whether known or unknown, after the sale is complete.
5. LIENS AND ENCUMBRANCES
The Seller warrants that the Property is free and clear of all liens, security interests, loans, claims, and encumbrances of any kind, and that there are no outstanding amounts owed against the Property. The Seller agrees to indemnify the Buyer against any claim arising from any undisclosed lien or encumbrance existing prior to the date of sale.
6. GOVERNING LAW
This Bill of Sale shall be governed by and construed in accordance with the laws of [governing state or country]. Any dispute arising out of or relating to this Bill of Sale shall be subject to the jurisdiction of the courts located in [governing state or country].
7. ENTIRE AGREEMENT
This Bill of Sale constitutes the entire agreement between the Seller and the Buyer with respect to the sale of the Property and supersedes all prior discussions, representations, and agreements, whether oral or written. Any amendment must be in writing and signed by both parties.
